Graded Prompts — Buyer Terms of Service

1. Introduction

Welcome to Graded Prompts. These Buyer Terms of Service ("Terms") govern your access to and use of the buyer-facing platform at gradedprompts.com (the "Platform"), operated by Graded Prompts Ltd, a company registered in England and Wales (company number 17080335) ("Graded Prompts," "we," "us," or "our"). These Terms apply to your browsing of the Platform and your purchase of AI prompts and related digital content ("Prompts") through the Platform. By creating an account, browsing, purchasing, or otherwise using the Platform, you agree to be bound by these Terms. How we collect, use, and protect your personal data is explained in our Privacy Policy (gradedprompts.com/legal/privacy-policy), which you should read alongside these Terms. Graded Prompts Ltd is the data controller for the personal data we process about you.

2. Definitions

In these Terms, unless the context requires otherwise:

  • "AI Platform" means a third-party artificial intelligence service on which Prompts are designed to run, including but not limited to OpenAI, Anthropic, Google Gemini, Midjourney, and Stable Diffusion.
  • "Buyer," "you," "your" means an individual or entity that accesses, browses, or purchases through the Platform.
  • "Seller" means a third-party user of Graded Prompts who lists Prompts for sale through the seller portal.
  • "Order" means a confirmed purchase of one or more Prompts through the Platform.
  • "Output" means content (including text, images, audio, video, or code) generated by running a Prompt on an AI Platform.
  • "Platform" means the website at gradedprompts.com and related services operated by Graded

Prompts Ltd.

  • "Prompt" means a text-based input, set of inputs, or template made available for purchase on the Platform, including any accompanying instructions, parameters, or example outputs.

3. Eligibility and Accounts

3.1 Eligibility

To use the Platform, you must be at least 18 years old and capable of entering into a binding contract under the laws of your jurisdiction. By using the Platform, you represent and warrant that you meet these requirements.

3.2 Account Registration

To purchase Prompts, you must create a buyer account. When registering, you agree to:

(a) Provide accurate, current, and complete information;

(b) Maintain and promptly update your account information;

(c) Maintain the security of your password and accept responsibility for all activities under your account;

(d) Notify us promptly of any unauthorized use of your account or any other breach of security.

3.3 One Account per Person

Each individual may hold only one buyer account. We reserve the right to suspend or terminate duplicate accounts.

3.4 Buyer and Seller Accounts

Your buyer account on gradedprompts.com is separate from any seller account on portal.gradedprompts.com. Listing Prompts for sale requires separate registration on the seller portal and acceptance of the Seller Agreement. You may use the same login credentials across both, but separate acceptance of the Seller Agreement is required before listing any Prompt.

3.5 Account Suspension and Termination

We may suspend or terminate your account at our discretion where you breach these Terms, engage in fraudulent or abusive conduct, or where suspension or termination is required by law. The effect of account closure on Prompts you have already purchased is set out in our Prompt License (gradedprompts.com/legal/prompt-license).

4. Use of the Platform

4.1 Browsing and Purchasing

The Platform allows you to browse, search, and purchase Prompts created by Sellers. Graded Prompts Ltd acts as the merchant of record for all purchases, as set out in Section 9.

4.2 Listings and Descriptions

Each Prompt listing includes a description, example outputs, and information about the AI Platform(s) on which the Prompt is designed to run. While we take reasonable steps to ensure listings are clear and accurate, listings are created by Sellers. You should review the listing carefully before purchase, including the AI Platform(s) required, the example outputs, and any instructions for use.

4.3 Reviews and Other User Submissions

If you submit reviews, ratings, comments, or other content to the Platform, or send messages to Sellers through the Platform's messaging features, you:

(a) Represent that the content is your own and does not infringe any third party's rights;

(b) Grant Graded Prompts a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute that content on and in connection with the Platform;

(c) Agree that we may remove, edit, or refuse to publish content that breaches these Terms, is unlawful, abusive, defamatory, or otherwise inappropriate.

We take reasonable and proportionate steps to ensure that reviews and ratings displayed on the Platform are genuine and not misleading. Reviews that we determine to be fake, paid-for and undisclosed, posted by parties with an undisclosed connection to the Seller, or otherwise misleading may be removed, and accounts found to be submitting such reviews may be suspended or terminated.

4.4 Platform Availability

We aim to keep the Platform available continuously but do not guarantee uninterrupted access. We may suspend, modify, or discontinue any part of the Platform at any time, with or without notice.

5. Prompts and AI Outputs

5.1 Nature of Prompts

Prompts are text-based inputs designed to be used with one or more AI Platforms. Effective use of a Prompt requires you to:

(a) Have access to the AI Platform(s) specified in the listing;

(b) Follow any instructions or guidance provided with the Prompt;

(c) Understand that AI Platforms may charge their own usage fees or require their own subscriptions. These are separate from your purchase from Graded Prompts and are your sole responsibility.

5.2 AI Output Variation

Generative AI tools are inherently variable. The same Prompt run on the same AI Platform may produce different outputs each time, even with identical inputs. This variability is a feature of how AI systems work and is not a defect of the Prompt. Example outputs shown on a Prompt listing are representative of what the Prompt can produce — not guarantees of identical or near-identical output. You acknowledge that:

(a) Outputs you generate may differ from the example outputs in style, detail, composition, or content;

(b) Differences within the broad style, subject, and intent shown in the examples are normal AI behaviour and do not entitle you to a refund;

(c) Outputs may vary further when AI Platforms update their underlying models, change their parameters, or modify their terms.

A refund may be considered where a Prompt produces output that: (a) does not materially fit the listing description; or (b) is not broadly consistent with the representative examples. See Section 7.

5.3 Compliance with AI Platform Terms

When you use a Prompt with an AI Platform, you are subject to the terms of that AI Platform. You are solely responsible for reviewing and complying with those terms, including any restrictions on content generation, commercial use, or distribution of outputs.

6. Prompt License to Use Purchased Prompts

When you purchase a Prompt, Graded Prompts Ltd grants you a worldwide, non-exclusive, non-transferable, perpetual licence to use that Prompt for personal and commercial purposes, subject to the specific use restrictions set out in the Prompt License. The full terms of that licence — what you may and may not do with a Prompt, how it applies to Outputs, transfer, and how and when it ends — are set out in our Prompt License, available at gradedprompts.com/legal/prompt-license and linked from each Prompt listing and at checkout. The Prompt License is incorporated into, and forms part of, these Terms.

The version of the Prompt License that applies to a Prompt is the version in effect at the time you purchase that Prompt. We may update the Prompt License for future purchases, but changes do not apply retroactively to Prompts you have already bought. Nothing in the Prompt License or this Section affects your statutory rights as a consumer, which cannot be excluded or limited.

7. Refunds and Returns

7.1 Overview

Due to the digital nature of Prompts, all sales are generally final. However, refunds will be considered where a Prompt does not function as described in its listing.

7.2 What Qualifies for a Refund

A refund may be considered where:

(a) The Prompt produces output that does not materially fit the listing description, or that is not broadly consistent with the examples shown;

(b) The Prompt contains errors that prevent it from running on the AI Platform specified in the listing;

(c) The Prompt was materially misrepresented in its description.

7.3 What Does Not Qualify for a Refund

The following are not grounds for a refund:

(a) Normal AI output variation. Generative AI tools produce different outputs each time a Prompt is run, even with identical inputs. Outputs that differ from the example images or text shown on a listing — while still fitting the description and being broadly consistent in style, subject, and intent — reflect normal AI behaviour and are not grounds for a refund. See Section 5.2 for further detail;

(b) Subjective dissatisfaction with otherwise functional outputs (for example, personal taste or stylistic preference);

(c) Use on incompatible AI Platforms or with models other than those specified in the listing;

(d) Modifications to the Prompt by the buyer that change its behaviour;

(e) Change of mind after purchase.

7.4 Refund Window

Refund requests under this Section 7 must be submitted within 3 days of purchase. This 3-day window is Graded Prompts' own goodwill returns policy; it does not limit any statutory right you may have as a consumer to a remedy for digital content that is faulty, not as described, or not fit for purpose, which is not subject to this window. Requests outside the window that do not engage such a statutory right will not be considered.

7.5 How to Request a Refund

If a Prompt is not working as expected:

Step 1 (recommended) — Contact the Seller. We encourage you to contact the Seller first by visiting their profile page and using the "Send Message" button. This opens a private conversation with the Seller, and many issues are resolved quickly by the Seller providing clarification, an updated version of the Prompt, or troubleshooting guidance. Step 2 — Email orders@gradedprompts.com within the 3-day window (Section 7.4), including:

  • Your order ID;
  • The Prompt name or listing URL;
  • A description of the issue;
  • Screenshots or copies of the AI Platform output you received;
  • Any shareable links to the generation(s) you tried (for example, a ChatGPT share link or a Midjourney job URL), where the AI Platform provides them — these help us verify the issue quickly;
  • The AI Platform and model version used;
  • Any input values you provided to the Prompt.

Contacting the Seller first is encouraged but not required. We will not refuse a refund request — or any remedy you are entitled to under applicable law — solely because you did not contact the Seller first. If your request is missing the information above, we may ask you for it before we can assess the claim.

7.6 Review and Response

We will acknowledge your refund request within 2 business days of receipt and provide a decision within 5 business days of receiving complete information. We may request additional information to evaluate your claim.

7.7 Available Remedies

Where a refund request is approved, we may offer one of the following remedies:

(a) A repair or replacement of the Prompt (which may take the form of an updated version of the Prompt provided by the Seller); or

(b) A full refund to the original payment method.

Where you have a statutory right to a specific remedy under applicable law, we will honour that right. You will be informed of the remedy offered as part of our response to your request.

7.8 Refund Processing Time

Approved refunds to the original payment method are processed within 5–10 business days. The time for funds to appear in your account depends on your payment provider.

7.9 Right to Refuse

We reserve the right to refuse refunds where:

(a) The request is submitted outside the 3-day window;

(b) The claim is determined to be fraudulent, abusive, or inconsistent with this policy;

(c) The buyer has a pattern of refund requests suggesting misuse;

(d) The grounds for the request fall under Section 7.3.

7.10 Right to Issue Refunds Proactively

We reserve the right to issue refunds on any payment at our sole discretion, including to protect the integrity of the Platform.

7.11 Statutory Rights Preserved

Nothing in this Section 7 affects any statutory rights you may have under applicable consumer protection law in respect of digital content that is faulty, not as described, or not fit for purpose, where such rights cannot be excluded by contract.

8. Cancellation Rights

8.1 Statutory Cancellation Right

Where applicable consumer protection law grants you a right to cancel a purchase of digital content within a set period after purchase, we apply a uniform 14-day cancellation right to all buyers, regardless of location. This right allows you to cancel your purchase and receive a refund without needing to demonstrate that the Prompt is faulty or misdescribed.

8.2 Loss of Cancellation Right

The 14-day cancellation right is lost once you have:

(a) expressly consented to immediate delivery and access to the Prompt; and

(b) acknowledged that, by doing so, you lose your right to cancel.

By selecting the relevant option at checkout, you provide both this consent and acknowledgment. Written confirmation of your consent and acknowledgment will be provided in your order confirmation email.

8.3 Effect on Other Rights

The loss of the 14-day cancellation right does not affect:

(a) Your right to request a refund under Section 7 where a Prompt does not function as described; or

(b) Any statutory rights you may have in respect of digital content that is faulty, not as described, or not fit for purpose, which cannot be waived by contract.

8.4 How to Exercise the Cancellation Right

Where you still have the cancellation right (that is, you have not yet consented to immediate access and waived the right under Section 8.2), you may cancel within 14 days of purchase by telling us clearly that you wish to cancel — for example by emailing orders@gradedprompts.com, or by completing and returning the model cancellation form in the Annex to these Terms. You do not have to use the model form. Where you validly cancel, we will refund all payments received from you for the cancelled Prompt without undue delay, and in any event within 14 days of being informed of your decision, using the same payment method you used to pay.

9. Payments and Merchant of Record

9.1 Merchant of Record

Graded Prompts Ltd is the merchant of record for all transactions on the Platform. When you purchase a Prompt through the Platform, you are purchasing from Graded Prompts Ltd, not directly from the Seller. We process all payments, issue receipts, handle customer service inquiries, and manage refund requests in accordance with Section 7.

9.2 Pricing and Currency

All prices on the Platform are displayed in United States Dollars (USD). Prices are set by Sellers and may change at any time. The price applicable to your purchase is the price displayed at the time you place the Order. All prices on the Platform are displayed in US Dollars (USD). If your payment provider converts the charge to a different currency, the exchange rate and any conversion fees are determined by your payment provider, not by us. The amount charged to your payment method may therefore differ from the USD price shown.

9.3 Payment Methods

We accept payment by the methods displayed at checkout, which may include credit and debit cards and other electronic payment methods. By providing payment information, you authorize us to charge the applicable amount to the payment method you select. We do not store your full payment card details; card information is collected and processed by our third-party payment processor under its own security standards.

9.4 Total Price and Taxes

Where you purchase as a consumer in a jurisdiction in which VAT, GST, or a similar tax applies to the sale (including the United Kingdom and the European Union), the price shown to you includes that tax. Where tax is instead added at checkout — for example, certain US sales taxes calculated from your billing location, or business purchases — the tax and the resulting total will be shown to you before you complete your Order. In all cases, the total amount payable, inclusive of any applicable tax, is displayed before you are bound, and no additional fees or charges other than the tax shown will be added at checkout.

9.5 Receipts and Confirmation

You will receive an order confirmation by email after each completed purchase. The confirmation will include details of the Prompts purchased, the amount paid, and the written confirmation of cancellation-right waiver required under Section 8.2.

9.6 How to Order

The following steps describe how a contract for the purchase of a Prompt is concluded on the Platform: You browse the Platform and select the Prompt you wish to purchase. You add it to your cart. At checkout, you review your cart, where you may remove items to correct any errors. You tick the checkbox confirming that you consent to immediate delivery and acknowledge the loss of your cancellation right (see Section 8.2). You complete payment via our payment processor, Stripe. The contract between you and Graded Prompts Ltd is concluded when your payment is successfully processed. You will receive an order confirmation on screen and by email, which serves as your receipt and confirmation of the contract terms. Before placing your order, you can review and correct any input errors by returning to your cart to add or remove items. Please check your order carefully before completing payment, as you will not be able to change it after the contract is concluded. We store a copy of the contract (comprising these Terms, the Prompt License, and your order confirmation) and you may access it at any time through your account on the Platform. The contract is available in English only.

10. Prohibited Conduct

You agree not to:

(a) Use the Platform for any unlawful purpose or in violation of these Terms;

(b) Use automated tools (including scrapers, bots, or crawlers) to access, copy, or download Platform content, except for publicly available content accessed through standard search engines;

(c) Attempt to access, copy, or download Prompts you have not purchased;

(d) Reverse engineer, decompile, or attempt to extract the source code or underlying logic of the Platform;

(e) Use the Platform in a manner that imposes an unreasonable load on our infrastructure;

(f) Interfere with or disrupt the Platform or any associated networks or services;

(g) Impersonate another person or misrepresent your affiliation with any person or entity;

(h) Share your account credentials with any third party or allow another person to use your account;

(i) Use the Platform to transmit malware, viruses, or other malicious code;

(j) Engage in chargeback abuse (see Section 12);

(k) Resell, redistribute, sublicense, or otherwise commercialize Prompts you have purchased, except as expressly permitted under Section 6.

10A. Reporting Content and Complaints

We want the Platform to be safe and lawful. If you come across a listing, review, message, or other content on the Platform that you believe is illegal or harmful, or that breaches these Terms — for example, content that is fraudulent or abusive, or that sexualises or endangers children — you can report it:

(a) using the "Report" control shown on listings and other content, where available; or

(b) by emailing report@gradedprompts.com, describing the content, where you found it (a URL or listing ID), and why you are reporting it.

We review reports, take appropriate action — which may include removing or disabling access to content and suspending or terminating accounts — and aim to deal with reports promptly. We have a designated person responsible for our content-safety compliance. Reports about intellectual property infringement are handled under our IP & Takedown Policy (see Section 13.4). Nothing in this section limits your right to report content directly to the police or any other authority. We aim to acknowledge reports within 5 working days of receipt and to provide an outcome decision within 28 working days of acknowledgment. Possible outcomes include: removal of the reported content, suspension or termination of the account responsible, or a decision that no action is required (in which case we will provide our reasons). Where a Seller's content is removed as a result of a report, the Seller may appeal the decision by emailing report@gradedprompts.com or through any designated appeals process we make available.

11. AI Platforms and Third-Party Services

11.1 No Affiliation

Graded Prompts is not affiliated with, endorsed by, or sponsored by any AI Platform. References to AI Platforms on the Platform are for descriptive purposes only.

11.2 No Warranty Regarding AI Platforms

We do not control, and are not responsible for:

(a) The availability, performance, or reliability of any AI Platform;

(b) Changes to AI Platform models, terms, pricing, or functionality;

(c) The accuracy, quality, or content of Outputs generated through AI Platforms;

(d) Ownership, usage rights, or restrictions in respect of Outputs, which are governed by the AI Platform's terms.

11.3 Your Responsibility

You are responsible for maintaining your own access to any AI Platform required to use the Prompts you purchase, and for complying with the AI Platform's terms and any usage fees it charges.

12. Disputes and Chargebacks

12.1 First Resort

If you have a concern about a purchase, please follow the process set out in Section 7 (Refunds and Returns): we encourage you to contact the Seller through the platform's "Send Message" feature and to submit a request to orders@gradedprompts.com. Contacting the Seller first is encouraged but not a precondition to a refund or to any statutory remedy.

12.2 Chargebacks

If you have a concern about a purchase, we encourage you to contact us at orders@gradedprompts.com before contacting your card provider, so we can try to resolve it quickly through our refund process (Section 7). We reserve the right to suspend your account and pursue recovery where a chargeback is initiated fraudulently — for example, where you have received and used the purchased content and dispute the charge with your card provider without contacting us and without a genuine basis for the dispute. We monitor chargeback activity, and:

(a) Repeated chargebacks may result in account suspension or termination;

(b) Fraudulent chargebacks may be challenged with the card issuer and may result in termination of all licences under Section 6.

12.3 No Waiver of Statutory Rights

Nothing in this Section 12 affects rights you may have under applicable consumer protection law that cannot be waived by contract, including your right to dispute charges with your card issuer.

13. Intellectual Property

13.1 Platform Content

The Platform, including its design, code, trademarks, and content other than Prompts and Outputs, is owned by Graded Prompts Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws.

13.2 Prompts

Prompts are created, uploaded, and listed by independent Sellers, who are responsible for ensuring they hold all rights necessary to list and license their Prompts through the Platform. Prompts remain the intellectual property of their respective Sellers or licensors. Your rights to use purchased Prompts are governed by Section 6.

13.3 Outputs

Ownership and usage rights in respect of Outputs are governed by the terms of the AI Platform on which the Output is generated, as set out in Section 11 and our Prompt License (gradedprompts.com/legal/prompt-license).

13.4 Reporting Infringement

If you believe that a Prompt or other content on the Platform infringes your intellectual property rights, our IP & Takedown Policy (available at gradedprompts.com/legal/ip-takedown-policy) explains how to notify us and how we handle reports, including our notice, counter-notice, and repeat-infringer processes.

13.5 Analytics

We may monitor, collect, and analyse information relating to use of the Platform and compile it in aggregated and anonymised form (Analytics). We own all rights in the Analytics and may use them for any business purpose, provided the Analytics do not identify you.

14. Disclaimers

14.1 Platform Provided "As Is"

To the maximum extent permitted by law, and except for the statutory rights of consumers preserved by Section 14.3, the Platform and the Prompts are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

14.2 No Guarantee of Outcomes

We do not warrant that:

(a) The Platform will be uninterrupted, error-free, or secure;

(b) Any Prompt will achieve any specific result for your particular use case;

(c) Outputs generated using Prompts will meet your requirements or expectations;

(d) Any AI Platform will continue to support the Prompt's intended use.

14.3 Consumer Rights Preserved

Nothing in this Section 14 affects your statutory rights as a consumer in respect of digital content that is faulty, not as described, or not fit for purpose, where such rights cannot be excluded under applicable law.

15. Limitation of Liability

15.1 Excluded Liability

To the maximum extent permitted by law, Graded Prompts Ltd, its officers, employees, and agents will not be liable for:

(a) Indirect, incidental, consequential, special, or exemplary damages;

(b) Loss of profits, revenue, business, goodwill, or anticipated savings;

(c) Loss of data or content;

(d) Damages arising from your use of any AI Platform or any Output;

(e) Damages arising from the conduct of any Seller or other third party.

15.2 Aggregate Cap

To the maximum extent permitted by law, our total aggregate liability to you under or in connection with these Terms, regardless of the cause of action, is limited to the greater of (i) the total amount you have paid to Graded Prompts in the twelve (12) months preceding the event giving rise to the claim, or (ii) USD 100 (one hundred US dollars).

15.3 Liability Not Excluded

Nothing in these Terms excludes or limits our liability for:

(a) Death or personal injury caused by our negligence;

(b) Fraud or fraudulent misrepresentation;

(c) Any other liability that cannot be excluded or limited under applicable law.

16. Indemnification

If you are acting as a consumer (as defined in the Consumer Rights Act 2015), this Section 16 does not apply to you. You agree to indemnify, defend, and hold harmless Graded Prompts Ltd, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) Your breach of these Terms;

(b) Your use of any purchased Prompt in violation of Section 6 and the Prompt License, or the terms of any AI Platform;

(c) Your violation of applicable law in connection with your use of the Platform;

(d) Content you submit to the Platform (including reviews, ratings, or messages to Sellers) that infringes a third party's rights.

17. Changes to These Terms

17.1 Updates

We may update these Terms from time to time. The "Last Updated" date at the top of these Terms indicates when they were last revised.

17.2 Notice

For material changes, we will provide notice by email to the address associated with your account, by a notice on the Platform, or both, at least 14 days before the changes take effect. For minor or non-material changes (such as clarifications, typographical corrections, or changes to contact details), we may rely on the updated "Last Updated" date.

17.3 Continued Use

Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Platform.

17.4 Existing Purchases

Changes to these Terms do not retroactively affect the license terms applicable to Prompts you have already purchased, which continue to be governed by the Terms in effect at the time of purchase.

18. Governing Law and Jurisdiction

18.1 Governing Law

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales.

18.2 Jurisdiction

The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except that consumers resident in another country may bring proceedings in the courts of their country of residence and rely on the mandatory consumer protection laws of that country to the extent required by law.

18.3 Alternative Dispute Resolution

Graded Prompts Ltd is not obliged, and does not agree, to submit to alternative dispute resolution procedures before a consumer ADR entity. Nothing in these Terms prevents you from seeking redress through the courts.

18.4 Access from Outside the United Kingdom

The Platform may be accessed from the United Kingdom and other countries. We make no representation that the Platform or any Prompt is appropriate, available, or lawful for use in any particular country outside the United Kingdom. If you access the Platform from outside the United Kingdom, you do so on your own initiative and are responsible for compliance with applicable local laws. Nothing in this Section limits the consumer rights preserved in Section 18.2.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and Graded Prompts Ltd in respect of the Platform.

19.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19.3 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent, except as expressly permitted under our Prompt License (which allows a buyer that is a legal entity to transfer its licence to a successor entity on a merger, acquisition, or similar corporate succession). We may assign these Terms in connection with a merger, acquisition, or sale of assets, on notice to you.

19.5 Force Majeure

Neither party is liable for any failure or delay in performing its obligations under these Terms where the failure or delay results from events outside that party's reasonable control, including but not limited to: acts of God, pandemic or epidemic, government action or sanctions, war, terrorism, civil unrest, fire, flood, earthquake, power failure, internet or telecommunications failure, cyberattack, failure of third-party cloud infrastructure, or disruption to Stripe's payment services (each a "Force Majeure Event"). The party affected by a Force Majeure Event must notify the other party as soon as reasonably practicable after becoming aware of the event, providing reasonable details of the event and its expected duration. The affected party must use reasonable efforts to mitigate the effect of the Force Majeure Event and to resume performance of its obligations as soon as reasonably practicable. If a Force Majeure Event continues for more than 90 consecutive days, either party may terminate the affected transaction by giving written notice to the other party. A Force Majeure Event does not excuse any obligation to make payment that fell due before the event occurred.

19.6 Third Party Rights

No one other than you and Graded Prompts Ltd has any right to enforce these Terms. The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.
