Graded Prompts — Prompt License

End-User License for Purchased Prompts

This Prompt License sets out your rights to use Prompts you purchase through the Graded Prompts platform at gradedprompts.com (the "Platform"). It is incorporated into, and forms part of, our Buyer Terms of Service, and is referred to in our Seller Agreement. Words defined in the Buyer Terms of Service have the same meaning here. Which version applies to your purchase. The version of this Prompt License in effect at the time you purchase a Prompt is the version that governs that Prompt. We may update this Prompt License for future purchases, but changes do not apply retroactively to Prompts you have already bought. Each version is published with its effective date.

1. Licence granted

When you purchase a Prompt, Graded Prompts Ltd grants you a worldwide, non-exclusive, non-transferable, perpetual licence to use the Prompt for both personal and commercial purposes, subject to this Prompt License. The licence takes effect on completion of payment and continues indefinitely, except as set out in Section 4 (Duration and termination).

2. What you may do

You may:

(a) use the Prompt as many times as you wish, on any compatible AI Platform identified in the Prompt's listing;

(b) use the Prompt in connection with personal projects, professional work, and client deliverables, including across multiple clients and projects, without purchasing additional licences;

3. What you may not do

You may not:

(a) resell, redistribute, sublicense, or otherwise make the Prompt available to any third party, whether for free or for payment;

(b) share the Prompt text, including with clients, collaborators, or other users of AI Platforms (for clarity, using the Prompt to produce deliverables for a client is permitted under Section 2; this restriction concerns sharing the Prompt text itself);

(d) use the Prompt to train, fine-tune, or develop any machine learning model or AI system;

(e) reverse engineer, decompile, or otherwise attempt to extract the underlying logic of the Prompt for the purpose of recreating or distributing it;

(f) use the Prompt in any manner that violates the Buyer Terms of Service or the terms of the AI Platform on which it is run.

4. Duration and termination

Your licence takes effect on payment and continues indefinitely, except that it will terminate:

(a) on refund — where a refund is issued for a Prompt under the Refunds section of the Buyer Terms of Service, your licence to that Prompt terminates immediately on issuance of the refund, and you must stop using the Prompt and delete any copies in your possession; or

(b) on material breach — where you materially breach this Prompt License or the Buyer Terms of Service, we may terminate your licence to one or more purchased Prompts on written notice. Termination for breach does not entitle you to a refund.

Account closure. Closing or terminating your Graded Prompts account does not, by itself, end your licence to Prompts you have already purchased — you keep that licence provided you have retained a copy and continue to comply with this Prompt License. However, account closure ends your ability to access, re-download, or manage purchased Prompts through the Platform, so you are responsible for keeping your own copies.

5. Outputs

This Prompt License covers your use of the Prompt itself. It does not extend to Outputs generated by running the Prompt on an AI Platform. Ownership, usage rights, and restrictions in respect of Outputs are governed by the terms of the AI Platform on which the Prompt is run (for example, OpenAI, Anthropic, Midjourney, Stable Diffusion). Graded Prompts Ltd does not claim ownership of, grant rights in, or warrant any particular treatment of Outputs generated through purchased Prompts. We do not warrant that any Output — or your use of a Prompt to generate, reproduce, publish, or commercially exploit an Output — will be free from infringement of a third party's intellectual property or other rights. Obtaining any rights needed to use an Output is your responsibility, and you are responsible for reviewing and complying with the terms of any AI Platform you use.

6. Transfer

This licence is non-transferable. However, where the buyer is a company or other legal entity and that entity is acquired by, merged with, or becomes a subsidiary of another entity, the licence may be transferred to the acquiring or successor entity without separate consent from Graded Prompts Ltd, provided the successor entity agrees to comply with this Prompt License and the Buyer Terms of Service. This does not permit transfer of an individual buyer's licence to another individual.

7. Your consumer rights

Nothing in this Prompt License affects your statutory rights as a consumer, which cannot be excluded or limited. Company and contact details: gradedprompts.com/legal/company-information

8. Governing Law

This Prompt License is governed by and construed in accordance with the laws of England and Wales.
